What is compulsory liquidation?

A compulsory liquidation is the winding up of a company by the court. A court order is required to put a company into compulsory liquidation. This process usually begins with a creditor issuing a statutory demand. If the debt is not paid with 21 days then the creditor may issue a winding up petition and a court date is set. Once the petition is served in the correct manner on the company they have a period of time to either defend the action or pay the debt. Regardless of whether the debt is paid, the court hearing still occurs. The petition can also be advertised in the Gazette where other creditors may see that a company is potentially being liquidated. This could have severe consequences on future trading.

Once in Liquidation, the company’s assets are sold and the proceeds are distributed to the company’s creditors. In all cases, the end result of liquidation is that the company is dissolved and ceases to exist as a corporate entity.

Can you prevent a company entering into compulsory liquidation?

There is a limited amount of time in which to take action to prevent being wound up by the court. The debt can be paid or the petition defended if the debt is disputed.

By entering into company voluntary arrangement or administration with the help of a licensed Insolvency Practitioner instead of waiting to be wound up by creditors and the court, you can be confident that your company is taking the best course of action. If the company enters into administration or company voluntary arrangement, it may even be able to recover and begin operating in a state of solvency again.

How does compulsory liquidation effect Directors?

Directors do not have any control over who will be liquidator and therefore do not have the relationship needed to ask the questions which they really need to know the answers to.

If the court believes that the Directors were guilty of trading while the company was insolvent, they may order the guilty party to cover a specific debt, pay fines, or be imprisoned. The liquidator is required to investigate and ascertain whether the Directors of the insolvent company fulfilled their Directors’ duties while trading insolvent.
