What shall I do if I receive a winding up petition?

If a winding up petition has been received the very first step to be taken is a thorough financial review of your company. It is important to understand whether you still have a viable business or if it has the potential to be restructured. This will then allow you to decide the most realistic outcome when dealing with the petition. Simply paying the petitioning creditor without a business review is not advised as this payment could be investigated by a Liquidator or Administrator if the business went into insolvency in the future and could have severe consequences on the Directors.

Where the company is no longer viable an experienced Insolvency Practitioner will be able to advise you of all of your options whilst considering the best interests for creditors. You might be able to restructure your business debts through a Company Voluntary Arrangement (CVA), restructure the business through an Administration or have more control in closing the business through a Creditors Voluntary Liquidation.

Can I deal with the petition myself?

You could deal with it yourself but if you act incorrectly or you do nothing, this could end up in the Court granting a Compulsory Winding Up Order where your company will be placed into Compulsory Liquidation. The Official Receiver will be appointed and your business will cease trading and all employees will be made redundant. In this instance you will have very little or no say in what happens to your business.

What other options do I have if I receive a petition?

Negotiating with the petitioning creditor is a possibility but the chances of a positive outcome are small as a creditor usually petitions to wind up a company as a last resort. If the petitioning creditor does not agree to withdraw the petition then your defense with any supporting evidence should be lodged in court at least five days before the hearing. You are advised to seek legal advice prior to submitting any documents to court.
